Incorporation of a Company with 100% Foreign Ownership
Legal support was provided in connection with the incorporation of a legal entity wholly owned by a foreign investor. The sole founder was a foreign company.
Solution
As part of the project, consultations were provided on incorporating a company in Russia, restrictions applicable to foreign investors, and the employment of foreign employees, including the general director.
The company’s charter containing individually developed provisions was drafted. Recommendations were provided on obtaining the necessary corporate approvals, taking into account the provisions of the foreign company’s foundation documents.
Legal support was also provided with respect to the legalization of foreign documents, including an extract from the relevant corporate register regarding the founder, as well as the translation of such documents into Russian.
Result
The project resulted in the successful registration of the foreign investor’s subsidiary.
